Wholesale Terms & Conditions
1. Application of Terms
These Wholesale Terms & Conditions (“Terms”) govern all orders placed with Quality Plants & Seedlings (“QPS”) by wholesale customers. By placing an order, the customer accepts these Terms in full.
2. Eligibility for Wholesale Account

Wholesale pricing is available to ABN holders operating in the horticultural, landscaping, food production, garden retail, or community garden sectors.

Customers must submit a completed Wholesale Account Application and receive approval before orders are accepted.
3. Minimum Order Requirements

Cash Sales / Bank Transfer: Minimum order value is $450 (ex GST).

Credit Card Sales: Minimum order value is $600 (ex GST).
-
Credit card payments incur a 1.25% transaction surcharge.
-
All prices are exclusive of GST and may change due to seasonal, economic, or supply factors.
4. Quotations
-
Formal quotations are valid for 7 calendar days from the issue date.
-
Availability is subject to propagation success, crop health, and seasonality.
-
QPS may offer suitable substitutes for unavailable lines.
5. Payment Terms
-
New wholesale customers must pay in full prior to dispatch or pick-up.

Approved customers may request 7 or 14-day trading terms, subject to credit approval.
-
Late payments incur a 2% monthly interest fee, and future supply may be paused until cleared.
6. Credit Card Sales
-
A $600 (ex GST) minimum applies for credit card purchases.

A 1.25% transaction surcharge applies.
-
Orders must be paid in full and cleared before dispatch.
7. Bank Transfer Payments
-
Minimum order: $450 (ex GST).
-
No surcharge applies.
-
Proof of payment must be emailed to accounts@qpseedlings.com.au before goods are dispatched.

Bank details are listed on your invoice.
8. Delivery & Freight
-
Delivery is available across Victoria and selected routes interstate.
-
Freight is calculated by volume, weight, and delivery location.
-
Free delivery may apply to large orders on select routes.
-
Risk passes to the buyer upon dispatch or collection.
9. Pick-Up Terms
-
Pick-ups are by appointment only from: 52 Whites Road, Werribee South, VIC 3030

Orders must be collected within 3 business days or may incur holding fees or be restocked.
10. Claims & Quality Concerns
-
Claims must be submitted within 24 hours of delivery or pick-up.
-
All claims must be in writing with clear photographic evidence.
-
Claims made after 24 hours or without evidence will not be accepted.
-
Approved claims may result in credit, replacement, or refund at QPS’s sole discretion.
11. Risk, Plant Condition & Liability Disclaimer

All plants leave our nursery in healthy condition, carefully inspected and packaged to ensure they are true to type and pest/disease free.

Ownership and responsibility transfer to the customer at the point of dispatch or collection.

QPS is not responsible for any:

Damage caused in transit (unless reported at time of delivery),

Plant health decline due to mishandling, poor storage, unsuitable environmental conditions, or delayed planting,
-
Crop failure or performance once planted, as this depends on factors outside our control.

Customers must inspect plants at the time of delivery and note any issues with the driver or delivery contact.

Failure to report visible issues at delivery voids any claim.

No warranties are expressed or implied beyond those required under Australian Consumer Law.
12. Plant Breeders Rights (PBR)

Certain plant varieties are protected by Plant Breeders Rights (PBR).
-
You must not propagate or distribute these lines unless licensed to do so.
-
Legal action may be taken for infringement.
13. Biosecurity Assurance
-
HACCP accreditation.
-
All plants are grown and handled using strict biosecure methods and hygiene standards.
14. Force Majeure
QPS is not liable for failure to supply due to events beyond our control, including weather events, natural disasters, freight disruptions, labour shortages, or pandemics.
15. Revisions to Terms
These Terms are subject to change at any time. The most current version is available at www.qpseedlings.com.au or upon request.
